DECODE – Beauty Business AgreementThis Agreement ("Terms") is between DECODE LLC, a company registered in Meydan Free Zone, Dubai, United Arab Emirates ("DECODE", "we", "our", or "us"), and the Beauty Business (Merchant) ("you", "your") — meaning any licensed salon, spa, clinic, or similar establishment that uses the DECODE platform to create and send payment links.By creating a user account, registering and selecting "I agree", you confirm that you are authorized to represent your Beauty Business and accept these Terms.1. Our Role and Services
DECODE provides an online platform located at www.welovedecode.com and any related mobile applications or services ("Platform") that enables Beauty Businesses to generate and share payment links for their services. DECODE is not a bank or financial institution.DECODE acts as the merchant of record and processes payments through licensed payment service providers regulated in the UAE. All card payment processing is handled by Payment Card Industry Data Security Standard (PCI DSS) Level 1 compliant payment processors, which represents the highest and most stringent security certification available for payment service providers.DECODE charges no subscription fees, setup fees, or monthly fees to Beauty Businesses. Our sole revenue comes from transaction fees that are automatically added to customers payments on top of your service prices.DECODE is solely a payment technology platform and does not enter into any contract with your customers. All contracts for services or products are exclusively between you (the Beauty Business) and your customers. Your customers are not customers of DECODE.DECODE has no involvement in, and assumes no liability for, the nature, quality, safety, legality, or delivery of any services or products you provide to your customers. DECODE shall not become a party to any agreement between you and your customers.2. Account Registration and Verification
To use the Platform, you must:• Hold a valid UAE company trade/commercial license;
• Complete our Know Your Customer (KYC) verification process, which may include providing:
o Emirates ID of authorized signatory;
o Beneficial ownership information;
o Bank account verification documents;
• Keep your business and payout details (bank account, PayPal) accurate and up to date;
• Notify DECODE of any changes to your business information within 14 business days.
• DECODE reserves the right to reject or suspend accounts that fail to complete verification within 14 days of account creation or fail to provide requested documentation within 14 business days.You authorize DECODE and its payment service providers to collect, hold, and disburse payments on your behalf in accordance with these Terms.3. Payments, Payouts and Settlement3.1 Payment Processing
All payments are processed in AED within the UAE. DECODE collects funds through licensed payment service providers and remits daily payouts to your registered bank account or PayPal.3.2 Transaction Fees
Fee Structure Model: DECODE operates on a transparent pass-through pricing model. When a Beauty Business creates a payment link, they specify their desired service amount. DECODE automatically adds the applicable transaction fee (as per the table below) on top of this amount, which is charged to your customers. The Beauty Business receives 100% of their specified service amount in their payout, while DECODE retains only the transaction fee. There are no subscription fees, monthly fees, setup fees, or any other fixed charges.Service Amount (AED) : Fee (%)

75,000 – 100,000 : 3.2%3.3 Payout Schedule
Daily payouts are typically processed within 1-2 business days of transaction completion, subject to:
• No pending disputes, chargebacks, or fraud investigations;
• Valid and operational payout account details.
In case of payout delays exceeding 5 business days, DECODE will provide frequent status updates.3.4 Transaction Reports
You may access detailed transaction reports through your DECODE dashboard at any time.4. Refunds, Disputes and Chargebacks4.1 Refunds
Refunds may be requested by the Beauty Business through the DECODE Platform. All payment processing and refund fees are borne by the Beauty Business. Approved refunds will be processed to the original payment method within 3-10 business days.4.2 Chargebacks
Chargebacks will be deducted from future payouts. You will be notified of any chargeback within 24 hours and have 7 days to provide supporting documentation to contest the chargeback.4.3 Suspicious Activity
DECODE may delay or suspend payouts if we detect suspected fraud, excessive chargebacks or other suspicious activity. We will notify you within 24 hours of any suspension and provide:
• Specific reasons for the delay or suspension;
• Required actions to resolve the issue;
• Expected timeline for review (not to exceed 30 days).You may appeal any suspension decision by providing supporting documentation to [email protected] within 7 days of notification.5. Taxes and Financial Obligations
Each Beauty Business is solely responsible for determining and remitting any VAT or other taxes related to its sales. DECODE does not calculate, collect, or remit taxes on behalf of Beauty Businesses.
You agree to provide DECODE with any required tax documentation upon request and to maintain accurate tax records for all transactions processed through the Platform.6. Data Protection and Security6.1 Payment Data Security
All card payments are processed through PCI DSS Level 1 compliant payment service providers. DECODE does not store or access cardholder data directly.6.2 Your Data Protection Obligations
Beauty Businesses must follow all applicable UAE data protection laws and regulations, including but not limited to:
• Obtaining proper consent from customers for data collection and processing;
• Implementing appropriate security measures to protect customer information;
• Complying with data subject rights requests (access, deletion, correction);
• Reporting any data breaches to DECODE within 48 hours.6.3 Data Processing and Retention
DECODE processes personal data as a data processor on behalf of Beauty Businesses in accordance with UAE data protection requirements. Transaction data is retained for 7 years to comply with UAE financial regulations.Upon termination of your account, DECODE will delete or anonymize personal customer data after 90 days, except where retention is required by UAE law or for dispute resolution purposes.7. Prohibited Use and Compliance7.1 Prohibited Activities
You may not use the Platform for:
• Adult or explicit services, gambling or cryptocurrency currencies;
• Illegal goods or services;
• Fraudulent or misleading transactions;
• Any activity prohibited by UAE law;
• Medical or cosmetic procedures performed by unlicensed practitioners or outside the scope of your business license;
• Services that violate UAE Ministry of Health and Prevention regulations or Dubai Health Authority standards.7.2 Legal Compliance
You agree to comply with all applicable UAE laws and regulations, including those governing:
• Commercial licensing and business operations;
• Consumer protection;
• Data privacy and protection;
• Value Added Tax (VAT) and other taxation;
• Anti-money laundering and counter-terrorism financing.
You must maintain all valid licenses and ensure all transactions processed through the Platform are lawful.8. Account Security and Responsibility
You are responsible for all activity under your account. You must:
• Keep your user login credentials secure and confidential;
• Not share your account access with unauthorized persons;
• Report any misuse or unauthorized access to DECODE within 48 hours of discovery;
• Implement reasonable security measures to prevent unauthorized account access.
DECODE is not liable for losses caused by unauthorized access to your account, except where such access results from DECODE's gross negligence or willful misconduct.9. Payment Link Terms and Customer Relations
Payments processed through DECODE payment links are collected on behalf of the Beauty Business. While DECODE acts as merchant of record for payment processing purposes, the Beauty Business is solely responsible for:
• All customer service inquiries and complaints;
• Delivery and quality of services or products;
• Handling refund and cancellation requests;
• Managing customer disputes and chargebacks;
• Providing clear terms of sale and service descriptions to customers.
All refund requests, cancellations, or disputes must be directed to the Beauty Business that issued the payment link. DECODE is not responsible for refund timelines or outcomes, but will cooperate with reasonable refund requests processed through the Platform.In the event a customer raises a dispute regarding non-delivery or fraud by a Beauty Business, DECODE may, at its sole discretion, assist in facilitating communication between the parties but assumes no obligation to refund, compensate, or resolve the dispute. Customers should seek resolution directly with the Beauty Business or through applicable consumer protection authorities.You should inform your customers that payment processing is provided by DECODE and that the total amount shown in the payment link includes both your service price and DECODE's transaction fee.10. Service Modifications and Interruptions
DECODE reserves the right to modify or enhance the Platform at any time. We will provide 30 days' advance notice for material changes that affect functionality.
DECODE will use commercially reasonable efforts to minimize service interruptions. Planned maintenance will be scheduled during off-peak hours with 48 hours' advance notice where possible.11. Account Suspension and Termination11.1 DECODE's Right to Suspend or Terminate
DECODE may suspend or terminate your account if:
• Fraud, excessive chargebacks, or suspicious activity is detected;
• Required by payment service provider regulations or UAE law;
• You breach these Terms or engage in prohibited activities;
• Your business license expires or is revoked;
• You fail to respond to verification requests within 14 business days.
We will provide written notice via email at least 24 hours before suspension or termination, except where immediate action is required to prevent fraud, comply with law, or protect DECODE or other users.11.2 Your Right to Terminate
You may terminate this Agreement at any time by providing 30 days' written notice to [email protected].Upon termination:
• You must immediately cease using the Platform and payment links;
• Pending transactions will be processed and paid out according to normal schedule;
• Any outstanding fees, chargebacks, or liabilities remain your responsibility;
• DECODE will retain transaction records as required by UAE law (7 years).11.3 Effect of Termination
Termination does not affect your responsibility for fees, chargebacks, refunds, or other liabilities incurred before or arising from pre-termination transactions. Sections 5 (Taxes), 6 (Data Protection), 14 (Liability and Indemnity), 17 (Governing Law), and 18 (Amendments) survive termination.12. Communications and Notices
All legal notices, invoices, or updates will be sent electronically to your registered email address. Such communications are considered received within 24 hours of sending, or when actually received, whichever is earlier.You must keep your email address current. Expected response time: Within 2 business days13. Intellectual Property Rights
All software, trademarks, logos, and platform content are the exclusive property of DECODE or its licensors and are protected by UAE and international intellectual property laws.You are granted a limited, non-exclusive, non-transferable, revocable right to use the Platform solely for processing payments for your business. This license terminates automatically upon termination of this Agreement.You may not:
• Use DECODE branding except as expressly permitted for payment links;
• Resell, sublicense, or otherwise commercially exploit the Platform.14. Liability, Disclaimers and Indemnity14.1 Platform Disclaimer
DECODE is not responsible for the quality, delivery, legality, or fulfillment of services or products offered by Beauty Businesses to their customers.DECODE expressly disclaims any liability for medical outcomes, complications, injuries, or adverse effects resulting from cosmetic, beauty, or wellness procedures performed by Beauty Businesses. The Beauty Business bears full professional liability and must maintain appropriate professional indemnity insurance.DECODE does not vet, verify, or guarantee the professional qualifications, licenses, or insurance coverage of Beauty Businesses. Customers use Beauty Business services at their own risk and should verify all licensing and credentials independently.DECODE provides the Platform 'as is' and 'as available' without warranties of any kind.14.2 Limitation of Liability
To the maximum extent permitted by UAE law:
DECODE's total aggregate liability to you for any claims arising from or related to this Agreement or your use of the Platform shall not exceed the total fees collected by DECODE on your transactions during the three (3) months immediately preceding the claim.DECODE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, even if DECODE has been advised of the possibility of such damages.This limitation of liability does not apply to:
• Fraud or fraudulent misrepresentation by DECODE;
• Any liability that cannot be excluded under UAE law.14.3 Your Indemnity Obligations
You agree to indemnify, defend, and hold harmless DECODE, its affiliates, officers, directors, employees, and agents from and against any losses, claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:
• Your use of the Platform or violation of these Terms;
• Your products, services, or business operations;
• Chargebacks, disputes, or refund claims from your customers;
• Your violation of any UAE law or third-party rights;
• Fines or penalties imposed by payment networks or regulatory authorities due to your conduct.This indemnity does not apply to claims arising solely from DECODE's gross negligence, willful misconduct, or breach of these Terms.15. Force Majeure
Neither party shall be liable for any failure or delay in performance under this Agreement due to circumstances beyond its reasonable control, including but not limited to:
• Acts of God, natural disasters, epidemics, or pandemics;
• War, terrorism, civil unrest, or government actions;
• Internet, telecommunications, or utility failures;
• Labor disputes or strikes;
• Payment network or payment service provider outages or restrictions.
The affected party must notify the other party as soon as reasonably practicable and use commercially reasonable efforts to minimize the impact. Performance obligations are suspended during the force majeure event but resume when the event ends. This clause does not excuse payment obligations.
16. Dispute Resolution16.1 Informal Resolution
Before initiating formal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiations. Either party may initiate negotiations by providing written notice of the dispute to the other party.16.2 Mediation
If informal negotiations fail to resolve the dispute within 30 days, the parties agree to attempt mediation before a mutually agreed mediator in Dubai, UAE. Each party shall bear its own costs of mediation, and the parties shall split the mediator's fees equally.16.3 Litigation
If mediation fails to resolve the dispute within 60 days, the dispute shall be finally resolved by arbitration administered by the Dubai International Arbitration Centre (DIAC) under its Arbitration Rules. The arbitration shall be conducted by one arbitrator, in English, and seated in Dubai, UAE. The arbitrator's decision shall be final and binding.17. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates.18. Amendments and Updates
DECODE may modify these Terms at any time. Material changes that affect your rights or increase your obligations will be notified to you via email at least 30 days before the effective date.
Non-material changes (such as clarifications, administrative updates, or changes required by law) may be implemented with notice via email or posting on our website.
Continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must terminate your account as described in Section 11.2 before the effective date.19. General Provisions19.1 Entire Agreement
These Terms constitute the entire agreement between DECODE and the Beauty Business and supersede all prior agreements or understandings, whether written or oral.19.2 Severability
If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary or removed. The remaining provisions will remain in full effect.19.3 No Waiver
Failure by DECODE to enforce any provision does not waive that provision or any other right. No single waiver constitutes a continuing waiver.19.4 Assignment
You may not assign these Terms without DECODE's prior written consent. DECODE may assign these Terms in connection with a merger, acquisition, or sale of assets.19.5 Third-Party Rights
These Terms create no third-party beneficiary rights except for DECODE's affiliates, officers, directors, employees, and agents as stated in Section 14.3.19.6 Language
