Terms of service

Service Agreement TermsBy using the service, user agrees to Terms of Service and Privacy Policy.1. Introduction
This Web3 Service Agreement (“Agreement”) is entered into as of today (“Effective Date”) by and between:1.1 DECODE LLC, a company incorporated and registered under the laws of Meydan Freezone, with license number 2305858.01, and having its registered office at Meydan Grandstand, 6th Floor, Meydan Road, Dubai, United Arab Emirates (“DECODE”);1.2 The user (“Creator”).Collectively, DECODE and Creator are referred to as the “Parties” and individually as a “Party.”The purpose of this Agreement is to establish the terms and conditions under which DECODE will provide digital services for developing and launching Non-Fungible Tokens (“NFTs”), crypto coins and online platforms on behalf of the Creator, enabling the Creator to monetize and engage with their audience in new and innovative ways. Creator wishes to work with DECODE to enable these services.2. Scope of Services
DECODE agrees to provide the following mutual agreed services on a commission-basis with no additional cost or fees to the Creator under this Agreement:2.1 NFT Services
• NFT Development: DECODE will create NFTs from the Creator’s media, which may include photos, videos, and other digital content provided by the Creator.
• NFT Marketplace Listing: DECODE will list the Creator's NFTs on a global marketplace, ensuring that the NFTs are available for purchase to the public.
• NFT Marketplace Design: DECODE will design and create a customized marketplace NFT collection page to showcase the Creator’s NFTs and facilitate sales.
• NFT Platform: DECODE will design, develop and host a tailored platform that serves as the central hub for the Creator’s NFT collection(s), consolidating all relevant information and fostering seamless community engagement.2.2 Crypto Coin Services
• Crypto Coin Development: DECODE will design, develop, and deploy a crypto coin (“Crypto Coin”) for the Creator on the blockchain, including all necessary technical development for its creation and functionality.
• Crypto Coin Marketplace Listing: DECODE will list the Creator’s Crypto Coin on a marketplace to facilitate its trading to the public.
• Crypto Coin Marketplace Design: DECODE will design and create a customized marketplace page to showcase the Creator’s Crypto Coin and facilitate sales.
• Crypto Coin Platform: DECODE will design, develop and host a tailored platform that serves as the central hub for the Creator’s Crypto Coin, consolidating all relevant information and fostering seamless community engagement.
• Telegram Group: DECODE will create and engage in a Telegram group for the Crypto Coin, including implementing bot protection to ensure secure and smooth interaction within the group.3. Media Usage and Intellectual Property3.1 Media Usage
The Creator grants DECODE permission to use the Creator’s photos, videos, and other media (the “Creator’s Media”) to execute the services under above clause 2.3.2 Intellectual Property
Different regulations exist worldwide regarding ownership rights and intellectual property associated with the media used in a crypto coin, an NFT and the NFT token itself. Both Parties agree to comply with these regulations, including any potential changes enacted by official regulators. It is further agreed that neither the Creator nor DECODE will claim any intellectual property rights or impose usage fees on any holder of a crypto coin or NFT in the future, ensuring a fair trade with potential buyers. The Creator also agrees not to claim any compensation from DECODE for media or intellectual property rights in relation to Clause 3.1.4. Financials and Cooperation4.1 NFT Sales
• First Sale: For the first sale of each NFT, the Creator will receive eighty (80) percent of the sale price and DECODE will retain twenty (20) percent as commission. Payment to the Creator will be made by DECODE within seven (7) days after the transaction with a suitable payment method.
• Future Sales (Royalties): For any future resale of the NFT by any holder, an eight (8) percent royalty will be included in the smart contract on the blockchain. From these eight (8) percent, the Creator will receive six (6) percent and DECODE will receive two (2) percent. Payment for royalties will be made within seven (7) days after the transaction with a suitable payment method.4.2 Crypto Coin Sales
• The Creator’s Crypto Coin will be launched with one billion (1,000,000,000) total coins.
• The allocation of one hundred (100) percent of the coins will be as follows:
o Ninety-four (94) percent for immediate sale on the market = 940,000,000 coins
o Five (5) percent for the Creator = 50,000,000 coins
o One (1) percent for DECODE = 10,000,000 coins
• There is no commission payment applicable to any Party on any further transactions of the Crypto Coin after the allocation distribution and the initial listing on the market.4.3 Cooperation
Both Parties agree to promote the Crypto Coin without charging any separate fees to each other.4.4. Rug Pull Prevention
Both Parties agree not to engage in any actions that could result in a “rug pull”, defined as selling the majority or all of the Crypto Coins in their possession within a short period of time, thereby causing a loss of market trust and value, and triggering the sell-off by other coin holders. If a rug pull occurs by any Party, the responsible Party shall bear full liability, and the other Party shall not be held accountable. Any coin sale, if conducted, must be done carefully and in a timely manner that preserves market confidence.5. Termination and Suspension5.1 Termination
This Agreement is valid for one (1) year from the Effective Date and may be renewed by mutual written consent of both Parties. Either Party can terminate this Agreement with sixty (60) days' written notice. No termination fee applies. DECODE has the right to take the platform(s) offline after the official expiration or termination.5.2 Crypto Coin, NFTs and Platforms
Once the Crypto Coin is launched and the NFTs are sold, both cannot be de-listed or taken offline, and they keep staying in market circulation with no extra cost to both Parties. However, if there are no sales or transactions for six (6) months from the above Effective Date, DECODE may, with prior notice to the Creator, delete or deactivate the platforms, unsold NFTs and related services.5.3 Suspension
DECODE reserves the right to suspend the Creator’s platform(s) for violations of this Agreement, including but not limited to intellectual property infringements, fraudulent activities, illegal content, or illegal Creator’s Media. The Creator will be provided with fourteen (14) days’ notice to correct the issue. If not rectified within this period, DECODE reserves the right to suspend or terminate this Agreement.5.4 Rights after Termination
Upon termination of this Agreement, DECODE shall pay the creator any outstanding payments from pending sales transactions (if any). This obligation will be subject to the provisions of termination for cause as outlined in Clause 5.3.6. Taxes
Each Party is responsible for paying their own taxes related to this Agreement.7. Indemnity
• The Creator agrees to indemnify and hold harmless DECODE from any claims, damages, or liabilities arising from third-party claims related to the Creator’s Media or any content created, distributed, or sold by the Creator. This includes but is not limited to claims of intellectual property infringement, defamation, and any illegal use of the media.
• DECODE agrees to indemnify and hold harmless the Creator from any claims or losses arising from DECODE’s breach of this Agreement, except in cases of negligence or wilful misconduct by DECODE.IN WITNESS WHEREOF, the Parties agree to the above terms.Last updated: June 2025
